TERMS AND CONDITIONS OF USE OF THE GRC DIGITAL PLATFORM

INTRODUCTION

Thank you for visiting this website. We recommend that you carefully read this document and each of the notifications generated using the portal, during and after the process of formalization of use, as these are an integral part of it.  By using this platform, you accept the current regulations that may be developed by the authorities of GLOBAL REALTY CONNECT, S.R.L. regarding electronic submission of applications. It is important to bear in mind that by making use of the service provided by the portal: www.globalrealtyconnect.com implies the express and full acceptance of these terms and conditions of 

ACCESS TO THE PLATFORM

Acceptable Use: Users of the Platform must comply with all applicable laws and regulations of the Dominican Republic and may not use the Platform for illegal or fraudulent purposes.

Registration: In order to access certain areas or features of the Platform, it may be necessary to register and provide personal information. Such information must be accurate and kept up-to-date.

By accessing or using any portion of the GLOBAL REALTY CONNECT, S.R.L. or (“GRC”) platform or the services provided therein or other websites, webpages, or other applications linked to www.globalrealtyconnect.com as set forth below (collectively, the “Services”), you agree to abide by the terms, conditions, and notices set forth herein and as may be modified by GRC from time to time and without notice (the “Terms of Use”).  These Terms of Use constitute a binding contract between GRC and you.  You are responsible for regularly reviewing the Terms of Use.  You may review the most recent version of the Terms of Use at any time at: www.globalrealtyconnect.com /terms of use.  If you do not wish to be bound by these Terms of Use, please do not access or use any part of the GRC website or platform.

PRIVACY AND DATA PROTECTION 

Protection of GRC’s Personal Data: Any transfer and collection of personal data will be unlawful when the free, express and conscious consent of the owner has not been given (the way in which consent is obtained will depend on the circumstances). Law 172-13 of the Dominican Republic.

You agree to access or use the GRC website/platform (hereinafter sometimes referred to as the “Site”) only for lawful purposes permitted by the Terms of Use.  Among other things, you agree not to: 1) modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, frame on another web page, use on any other website or application, transfer or sell any information, software, user lists, databases or other lists, products or services provided through or obtained from this Site,   including, without limitation, engaging in the practices of “screen scraping,” “database scraping,” or any other activity for the purpose of obtaining user lists or other information; 2) damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site; 3) obtain or attempt to obtain any materials or information through any means not readily accessible by GRC through the Site.

Except with GRC’s express written permission, you agree that you will not access or attempt to access password-protected, secure, or non-public areas of the Site.

Except with GRC’s express written permission, you agree that you will not create links from any website, webpage, or other application to any page within or part of GRC’s website or platform; provided, however, that by obtaining GRC’s prior written consent, you may create a link directly to any page of the GRC Site. The origin of any link to any GRC web page must be accompanied by clear and prominent attribution indicating that the link is connected to the GRC home page.  By creating a link to the GRC Website, you agree that: 1) you will not employ any technology that results in the placement of the GRC Site’s content in a frame and/or a scaled-down pop-up window and/or any other display mechanism that changes the appearance of the GRC Site from how it would appear if a user typed the URL into a typical browser line; 2) your site will not display content or links to other websites or applications that contain illegal, obscene, indecent, derogatory, discriminatory, or offensive content; 3) you have duly registered your domain name and have all the necessary rights to use it; and 4) you shall not in any way access, collect, store, disclose, transfer, or use any information obtained from or derived from a user’s access to or use of the Site.  GRC reserves the right to revoke your permission to create such a link at any time and for any reason in its sole discretion and you agree to stop using the link immediately at any time GRC requests.  You agree that GRC may, in its sole discretion and at any time, terminate your access to and use of the Site, or any portion thereof, with or without notice.  You further agree that your use of the Site and any of its offerings or services will be terminated immediately if you violate these Terms of Use.

PLATFORM CONTENT

Intellectual Property: All content on the Platform, including, but not limited to, text, images, videos, software and logos, is protected by intellectual property laws and belongs to GLOBAL REALTY CONNECT, S.R.L.  or its licensors. You are not granted any ownership rights in this content.

User Content: By uploading or providing content to the Platform, you represent and warrant that you have the necessary rights to do so and that such content does not infringe the rights of any third party or applicable laws.

Search for homes and other properties through GRC’s advertising services.

You agree to the fee structure contained in Exhibit “A” which forms part of these Terms of Use.

  1. Users agree to compensate GRC one (1)% of the total sales commission on all business generated within GRC community interactions, therefore GRC will obtain such compensation: For example, If the sale value of a property is $100,000 and the commission established as a percentage is five (5)%, that is, $5,000, the parties involved will divide among themselves as agreed, four (4%) or $4,000 and will compensate five (5)% to GRC one (1)%, that is, $1,000.
  1. In the case of real estate rentals, users agree to compensate GRC twenty percent (20%) of the value of a month’s rent.
  1. In the same way, GRC employees/holders will compensate the GRC platform in case of conducting business independently as any other agent and will receive commissions according to what was agreed for such transaction.
  1. Commission payments shall be made by direct deposit via wire transfer or any means that users use in the GRC business account. See Appendix A.

In the event that THE USER sells real estate without delivering the percentage corresponding to the GRC, he/she will be penalized with an amount of FIFTY THOUSAND U.S. DOLLARS (US$50,000.00) for each sale of real estate without delivering the aforementioned percentage plus a penalty of two percent (2%) for each day of delay in the delivery of the aforementioned amount.

GRC is an advertising and marketing platform service for real estate brokers, agents, developers, for sale by owners and individuals. Users do not need to have a real estate license to participate. GRC is not a licensed real estate brokerage firm.

Go to the map or country list located on the GRC homepage.  Click on the country and then select the property/project you are interested in.  When you find the properties or other real estate projects you are interested in, please contact the listed contact to learn more about any particular listings you are viewing.

To see in person, any real estate property published on this platform, you must contact directly with the user who is connected to the property and thus make appointments to view the properties.  GRC is an advertising and lead generation service that links international projects and real estate with agents for buyers and sellers, developers and individuals, facilitating transactions around the world and serving as a channel or bridge to find the real estate that most closely resembles the one the user is looking for and wants in other parts of the world wherever the user resides. 

By contacting the listed contact to learn more about any particular property you are viewing on this Platform, GRC will automatically receive a copy of any communications set forth on the Site. GRC is not responsible for the content displayed on this Platform.

GRC, including its affiliates, officers, directors, contractors, representatives, and employees, specifically disclaim any liability for the content and representations contained in or located on the Site. 

GRC, including its affiliates, officers, directors, contractors, representatives, and employees, do not verify the accuracy of the information contained or viewed on the Site.  Potential buyers/investors/developers and sellers of real estate are notified and advised by GRC to verify the accuracy of all information contained or viewed on the Site. 

USER RESPONSIBILITIES

Your use of the Site is your agreement to hold GRC, including its affiliates, officers, directors, contractors, representatives, and employees harmless with respect to any of the content and/or representations contained or viewed on www.globalrealtyconnect.com.

Su uso del Sitio es su acuerdo de eximir de responsabilidad a GRC, incluidos sus afiliados, funcionarios, directores, contratistas, representantes y empleados con respecto a cualquiera de los contenidos y / o representaciones contenidas o vistas en www.globalrealtyconnect.com. You acknowledge that GRC does not screen or endorse third-party content, and that GRC shall have the right (but not the obligation) in its sole discretion to reject, modify, remove, or move any content that is available on the Site for any reason. 

If you do not agree to hold GRC, including its affiliates, officers, directors, contractors, representatives, and employees, harmless with respect to any of the content and representations viewed on www.globalrealtyconnect.com  or on any third-party websites linked to the Site, please exit this website immediately and do not use any of the services provided or viewed on the Site.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and GRC as a result of the Terms of Use or access to or use of GRC’s website or platform. GRC’s performance under the Terms of Use is subject to existing laws and legal process, and nothing contained in the Terms of Use derogates from GRC’s right to comply with governmental, judicial, and law enforcement requests or requirements relating to your access to or use of GRC’s website/platform or information provided or collected by GRC regarding such use.

GENERAL CONDITIONS

APPLICABLE LAW AND JURISDICTION LAW 489-08 ON COMMERCIAL ARBITRATION: 

All disputes arising out of or in connection with this Agreement shall be resolved under the laws of the Dominican Republic and shall be resolved in accordance with the Arbitration Rules of the Santo Domingo Alternative Dispute Resolution Center, by one or more arbitrators, appointed in accordance with these Rules, as established in Law 489-08 of the Dominican Republic on Commercial Arbitration. Likewise, the prevailing language will be Spanish.

TERMS AND LIMITATIONS OF SERVICES

The provision of the formalization request service under www.globalrealtyconnect.com is restrictive, so requests for services that are not expressly stated on the portal will not be accepted. All services offered for electronic filing are subject to limitations and restrictions.

All documents that are required to accompany such an application for registration as part of such an application may initially be submitted in digital format.

The www.globalrealtyconnect.com Portal reserves the right to demand the corresponding evidence when there are reasonable doubts as to the veracity of any information or statement contained in the application or attached documents, as well as to order the suspension of the processing of the process and initiate the corresponding legal actions.

The improper use of the portal and any action that affects its operation will be sanctioned by GLOBAL REALTY CONNECT, SRL, which reserves the right to initiate the criminal and civil actions provided for by Dominican legislation for this purpose. Likewise, you agree to refrain from using the www.globalrealtyconnect.com Portal and the services it offers for illegal purposes or effects.  GLOBAL REALTY CONNECT, SRL reserves the right to deny or withdraw access to the portal and/or the services, at any time and without prior notice to those users who fail to comply with these Terms and Conditions.

WARRANTY & LIABILITY POLICIES

GLOBAL REALTY CONNECT, SRL, nor any of the other institutions involved are not responsible in any case for damages of any kind that may be caused, including: errors or omissions in the contents, lack of availability of the www.globalrealtyconnect.com portal or the transmission of viruses or malicious programs in its contents, despite having adopted all the necessary technological measures to avoid it.

We reserve the right to make any modifications we deem appropriate to the portal without prior notice: www.globalrealtyconnect.com,  being able to change, delete or add both the contents and services offered through the portal and the way in which they are presented or located on the portal.

We reserve the right to restrict, cancel or suspend, with prior notice, at any time, access to the www.globalrealtyconnect.com portal, a portion thereof or any specific functionality. We also reserve the right to freely remove any content hosted on the www.globalrealtyconnect.com portal.

MODIFICATION OF TERMS AND CONDITIONS.

We reserve the right to amend these Terms and Conditions at any time. Your continued use of any portion of the www.globalrealtyconnect.com Portal, upon notice or notice of such modifications, will constitute your acceptance of such changes.

INTERPRETATION OF THE TERMS OF USE

If any part of the Terms of Use is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and limitations of liability contained herein, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms of Use shall continue in effect. 

Unless otherwise specified herein (or in any other definitive written agreement between you and GRC), the Terms of Use constitute the entire agreement between you and GRC with respect to the GRC Website/Platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and GRC.  A printed version of the Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

DISCLAIMER OF WARRANTIES

You expressly understand and agree that: your use of and reliance on any and all GRC websites, platforms, services, and/or content is at your sole risk and is made available on an “as is” and “as available” basis. GRC makes no express or implied representations, warranties, or warranties regarding the suitability, accuracy, sufficiency, correctness, truthfulness, value, completeness, or timeliness of GRC’s network, services, and/or content. GRC expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

INDEMNITY

You agree to indemnify and hold harmless GRC, its third-party vendors, corporate affiliates, directors, officers, employees, and agents from any and all claims and demands, including, but not limited to, reasonable attorneys’ fees, made by any third party due to or arising out of any content, submitted, posted, or provided by you to GRC and/or its third-party advertisers and any breach by you or its affiliates,  employees, agents, and representatives of these Terms of Use.

LIMITATION OF LIABILITY

In no event shall GRC be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever, including, but not limited to, damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of the GRC Website, with the delay or inability to access or use the GRC Website or related services.     

En ningún caso GRC será responsable de ningún daño directo, indirecto, punitivo, incidental, especial, consecuente o cualquier daño, incluidos, entre otros, daños por pérdida de uso, datos o beneficios, que surjan de o estén relacionados de alguna manera con el uso o rendimiento del sitio web de GRC, con el retraso o la imposibilidad de acceder o utilizar el sitio web de GRC o los servicios relacionados. The provision or failure to provide services, or any content, software, products, and services available on or obtained through the GRC website, or arising out of the use of the website, whether in contract, tort, negligence, strict liability, or otherwise, even if GRC has been advised of the possibility of damages.  

if you are dissatisfied with any portion of the GRC Website/Platform, or with any of these Terms of Use, your sole and exclusive remedy is to discontinue using the Website/Platform.

COPYRIGHT LAW 20-00 ON INDUSTRIAL PROPERTY

According to Law 20-00 of the Dominican Republic on Industrial Property, they protect companies registered in the country, the creation of their brand, patents and others.

According to Article 115.- Protection of the trade name. (1) The owner of a trade name has the right to take action against any third party who, without his consent, does any of the following: (a) Use in commerce a distinctive sign identical to the trade name; (b) Using in commerce a distinctive sign similar to a trade name, where this would be likely to create confusion. (2) The provisions of Article 75 et seq. shall apply to the trade name.

The collection and use of personal data is governed by our Privacy Policy, which forms part of these terms and conditions. By using the Platform, you agree to our Privacy Policy.

All materials on GRC’s website (as well as the organization and design of the site) are owned and copyrighted or licensed by GRC, its corporate affiliates, or its third-party vendors.  No reproduction, distribution, or transmission of the copyrighted materials on GRC’s website/platform is permitted without GRC’s express written permission.  All rights not expressly granted herein are reserved.
